Should I be a sole trader or form a limited company?

Who should be a director or shareholder?

Directors and shareholders have different roles. Decisions about ownership, voting rights and dividend entitlements can have lasting tax and control consequences, so they should be considered before the company is formed.

Do I need different share classes?

Standard shares suit many companies, but not every situation. Where ownership, voting or dividend rights need to differ, we’ll help identify this before incorporation and explain when specialist legal advice may also be appropriate.

Which registrations and deadlines apply?

Depending on the structure and activities, you may need to register for Self Assessment, Corporation Tax, VAT or PAYE. We’ll identify what applies and when action is needed.

Can the business claim costs paid before it started trading?

Some pre-trading costs may be allowable if they meet the relevant conditions. We’ll review the expenses incurred while setting up and explain which records should be retained.

How should I organise the bookkeeping from the beginning?

We’ll help establish a separate business banking and FreeAgent routine for invoices, expenses and records, giving the business a cleaner financial history from its first transaction.

We can form the limited company for you, completing the incorporation with the agreed directors, shareholders, share structure and registered office details. Registered office and director service addresses are also available.

We’ll help complete the relevant registrations and explain the first deadlines for Self Assessment, Corporation Tax, PAYE or VAT where applicable.

Bookkeeping and FreeAgent setup

Start with separate banking, correctly configured software and a practical routine for recording sales, costs, invoices and expenses. Where appropriate, we’ll connect FreeAgent with bank feeds, payment platforms, receipt-capture tools and other useful integrations so more of the bookkeeping happens automatically and less needs to be entered manually.

Ongoing accounts and tax

Continue with support for Self Assessment or limited-company accounts and Corporation Tax once the business is trading.

Support as the business grows

Common questions before starting a business.

Should I begin as a sole trader or limited company?

The right structure depends on expected income, risk, the people involved and your future plans. A sole trader is generally simpler to establish, while a limited company is legally separate and brings additional responsibilities. We’ll explain the practical and tax differences before you decide.

Can Forest Finance form my limited company?

Yes. Company formation is available as a standalone service. We can complete the Companies House incorporation using the agreed director, shareholder, share, registered-office and business-activity details.

What information is needed to form a limited company?

You will need a proposed company name, registered office, director and shareholder information, share details, people-with-significant-control information and a SIC code describing the business. We’ll collect sensitive personal details securely after reviewing your initial enquiry.

Is the company ready to trade as soon as it is formed?

Incorporation creates the company, but further steps may still be needed. These can include business banking, bookkeeping software, Corporation Tax services, payroll or VAT registration. We’ll explain what applies and the first deadlines to expect.

Can I claim costs paid before the business started?

Certain qualifying pre-trading expenses may be deductible if they would have been allowable after trading began. Capital purchases and other costs can follow different rules, so keep the invoices and receipts for us to review.

Is FreeAgent included?

FreeAgent is included within Forest Finance’s ongoing accounting packages without a separate software charge. We’ll configure it and help connect suitable banking, payment and expense tools. A standalone company-formation service does not require an ongoing accounting package.

Do I need to register for VAT immediately?

Not necessarily. Registration is normally compulsory when VAT-taxable turnover exceeds the current £90,000 threshold, although voluntary registration may sometimes be appropriate. We’ll help you assess the timing.

Can I keep my home address private?

Forest Finance offers registered office and director service addresses. This can prevent a home address being used publicly for those purposes and allows official post to be scanned and emailed or physically forwarded.
